Terms of Service

These Terms of Service (the "Terms") are a binding agreement between uCinema, LLC ("uCinema," "we," "us," or "our"), a limited liability company organized under the laws of Puerto Rico, United States, and the business or individual ("you," the "Merchant," or the "Tenant") that creates an account on or uses the uCinema platform available at ucinema.com and app.ucinema.com (the "Platform").
By creating an account, requesting a demo store, or using the Platform, you agree to these Terms. If you use the Platform on behalf of a company, you represent that you have authority to bind that company.
1. The service
uCinema is a business-to-business (B2B) multi-tenant SaaS platform that provides:
- An online store (storefront) with product catalog, cart, and checkout.
- Payment processing through Stripe and/or ATH Móvil, using accounts connected or owned by the Merchant.
- A custom domain for the Merchant's store, included with the subscription.
- An AI-powered sales assistant that responds to the Merchant's customers over WhatsApp.
- Shipping label purchasing through Shippo.
- An optional Marketing Hub add-on for organic publishing and paid advertising on Meta (Facebook and Instagram), Google, and TikTok, with AI-assisted copy and campaign optimization.
We may add, modify, or discontinue features from time to time. We will provide reasonable notice of material reductions in core functionality.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for:
- Keeping your login credentials confidential and for all activity under your account.
- Ensuring the information you provide (business name, legal details, contact and billing information) is accurate and kept up to date.
- All actions taken by users you authorize to access your account.
3. Fees, billing, and renewal
- Activation fee: a one-time activation fee of $149 USD is due when you activate your store.
- 30-day money-back guarantee: your first payment as a new customer (the activation fee plus your first annual subscription) is covered by a 30-day money-back guarantee, as detailed in the Refund & Cancellation Policy.
- Annual subscription: the Platform subscription is $100 USD per year. Your subscription renews automatically at the end of each annual term, and the renewal fee is charged to your payment method on file, unless you cancel before the renewal date.
- Marketing Hub add-on: the Marketing Hub is offered with a 14-day free trial. After the trial, it converts to a paid add-on at the then-current price communicated to you before or during the trial. You can cancel the add-on before the trial ends to avoid charges.
- Advertising spend: ad budgets you set for campaigns on Meta, Google, or TikTok are charged by those platforms directly to the ad accounts and payment methods you connect. Ad spend is not a uCinema fee, and uCinema is not responsible for charges incurred on connected ad accounts based on budgets and settings you configure.
- WhatsApp fees: conversation fees charged by Meta for WhatsApp Business messaging are billed to the Merchant's own WhatsApp Business Account payment method.
- Taxes: fees are exclusive of applicable taxes, which you are responsible for, except taxes on our income.
- We may change subscription prices with at least 30 days' notice before your next renewal. Continued use after the renewal constitutes acceptance of the new price.
Cancellation and refunds are governed by our Refund & Cancellation Policy, which is incorporated into these Terms.
4. Your responsibilities as a Merchant
You are solely responsible for your store and your business, including:
- The products and services you sell, their quality, safety, legality, delivery, and any warranties.
- The accuracy of product listings, prices, and store policies (shipping, returns, privacy) shown to your customers.
- Complying with all laws applicable to your business, including consumer protection, tax, e-commerce, and data protection laws with respect to your customers' data.
- Handling your customers' personal data lawfully. For data protection purposes, you are the controller of your End Customers' data and appoint uCinema as a processor to the extent we process it on your behalf.
- Complying with the terms and policies of the third-party platforms you connect, including Meta's Commercial Terms and Community Standards, WhatsApp Business Messaging Policy, Google Ads policies, TikTok advertising policies, Stripe's Services Agreement, ATH Móvil's terms, and Shippo's terms.
- All content you publish or schedule through the Platform to social networks and all advertising campaigns you create, including having the necessary rights to the media you upload.
5. Acceptable use and prohibited content
You may not use the Platform to sell, promote, publish, or transmit:
- Illegal products or services, or content that facilitates illegal activity.
- Counterfeit goods or content that infringes intellectual property rights.
- Weapons, ammunition, explosives, or related accessories where restricted.
- Illegal drugs, drug paraphernalia, or unapproved pharmaceuticals or supplements.
- Adult sexual content or services.
- Content that is fraudulent, deceptive, or misleading, including deceptive advertising claims.
- Malware, phishing, spam, or unsolicited bulk messaging (including over WhatsApp).
- Content that harasses, threatens, or discriminates against individuals or groups.
- Products or content prohibited by the payment providers or advertising platforms you use through uCinema.
You also may not: interfere with or disrupt the Platform; attempt to access other tenants' data; reverse engineer the Platform except as permitted by law; resell or sublicense the Platform without our written agreement; or use the Platform to circumvent advertising platform enforcement (for example, running ads for a banned business).
We may remove content, suspend features, or suspend or terminate accounts that we reasonably believe violate these Terms, third-party platform policies, or applicable law. Where practical, we will notify you and give you an opportunity to cure.
6. Third-party integrations
The Platform connects to third-party services (Meta, Google, TikTok, Stripe, ATH Móvil, Shippo, Cloudflare, and others). You authorize uCinema to access and use the accounts you connect solely to provide the features you request. Third-party services are governed by their own terms, and we are not responsible for their availability, decisions (such as ad disapprovals, account restrictions, or payment holds), or changes to their APIs. If a provider suspends or limits our API access, related Platform features may be unavailable; this does not constitute a breach of these Terms, though the Refund & Cancellation Policy may apply.
You can disconnect any integration at any time from your dashboard.
7. AI features
The Platform includes AI-generated outputs (WhatsApp assistant replies, marketing copy, campaign optimization suggestions). AI outputs may be inaccurate or incomplete. You are responsible for reviewing and supervising AI outputs used in your business, including automated replies sent to your customers and ad content submitted to advertising platforms. You must configure the assistant honestly (for example, not instructing it to make false claims about products).
8. Intellectual property
- We retain all rights in the Platform, including software, templates, designs, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Platform during your subscription.
- You retain all rights in your content (product data, images, videos, brand assets, published posts). You grant us a limited license to host, process, display, and transmit your content solely to operate the Platform and provide the features you request (including transmitting content to the social and advertising platforms you connect).
- Feedback you provide may be used by us without obligation.
9. Availability and support
We aim to keep the Platform available at all times but do not guarantee uninterrupted service. Scheduled maintenance and factors outside our control (including outages of third-party providers) may cause downtime. Support is available at support@ucinema.com during the hours published on our Contact page.
10. Term, suspension, and termination
- These Terms apply while you use the Platform.
- Cancellation by you: you may cancel your subscription at any time from your dashboard or by emailing support@ucinema.com. Cancellation stops the next automatic renewal; the current term continues until its end, per the Refund & Cancellation Policy.
- Suspension or termination by us: we may suspend or terminate your account for material breach of these Terms, non-payment, legal requirement, or conduct that creates risk for uCinema, other Merchants, or third parties. For non-payment or curable breaches we will give notice and a reasonable cure period where practical.
- Effect of termination: upon termination, your store and custom domain stop being served. You may request an export of your product and order data within 30 days of termination, after which we may delete your data in accordance with our Privacy Policy.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ANY PARTICULAR SALES RESULTS, ADVERTISING PERFORMANCE, OR APPROVAL OF YOUR ACCOUNTS, CONTENT, OR ADS BY THIRD-PARTY PLATFORMS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA; AND (B) UCINEMA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM WILL NOT EXCEED THE AMOUNTS YOU PAID TO UCINEMA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNIFICATION OBLIGATIONS, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
13. Indemnification
You will defend, indemnify, and hold harmless uCinema and its members, officers, and employees from claims, damages, and expenses (including reasonable attorneys' fees) arising from: your products and services; your content and advertising; your violation of these Terms or applicable law; or your violation of third-party platform policies.
14. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable United States federal law, without regard to conflict-of-law rules. The courts located in Puerto Rico will have exclusive jurisdiction over disputes arising from these Terms, and each party consents to their jurisdiction. Before filing a claim, the parties agree to attempt in good faith to resolve the dispute by contacting support@ucinema.com.
15. General
These Terms, together with the Privacy Policy and Refund & Cancellation Policy, are the entire agreement between you and uCinema regarding the Platform. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. We may update these Terms with at least 30 days' notice for material changes; continued use after the effective date constitutes acceptance.
